01Agreement

By engaging MellowMeta for any service — web design, hosting, or add-ons — you agree to these Terms and Conditions in full. These terms govern all services provided through mellowmeta.co by MellowMeta LLC, a Pennsylvania limited liability company.

No services will commence until scope has been agreed upon in writing and any required deposit has been received. Any work requested outside agreed scope requires written approval before work begins.

02Services

MellowMeta provides web design, WordPress development, managed website hosting, and related digital services. Scope, deliverables, timeline, and pricing for each engagement are agreed upon in writing before work begins.

MellowMeta reserves the right to decline any project or service request at its sole discretion.

Clients on Wix, Squarespace, or any other site builder cannot migrate their existing site to WordPress — a full new WordPress build is required. Existing WordPress sites being moved from another host to MellowMeta's server require a WordPress Migration service.

03Hosting Requirement

All web design services require an active MellowMeta hosting plan. MellowMeta does not transfer website files, databases, or project assets to client-controlled or third-party servers as part of any design engagement. Website files remain on MellowMeta's managed server at all times.

04Payment

Web Design Projects

  • A 50% non-refundable deposit is required before work begins on any design project.
  • The remaining 50% balance is due upon project completion, before the site goes live.
  • Work will not be published until the final balance is paid in full.
  • Add-on services are paid in full before work on that add-on begins.

Hosting

  • Hosting is billed monthly. Invoices are delivered via email and payment is due upon receipt.
  • Third-party software and plugin costs are billed at exact cost with no markup.

Late Payments

  • Accounts more than 14 days past due may incur a $10 late fee per billing cycle.
  • MellowMeta reserves the right to suspend all services — including hosting — for accounts more than 14 days past due until the balance is cleared.
  • MellowMeta is not liable for any losses or business interruption resulting from service suspension due to non-payment.

Pricing Changes

  • Prices for new engagements are subject to change at any time without notice.
  • Pricing confirmed in writing will be honored for that engagement.
  • Recurring hosting rates may be adjusted with a minimum of 30 days' written notice.

05Client Responsibilities

Clients agree to the following for the duration of any active engagement:

  • Provide all required content, images, logos, brand assets, credentials, and approvals in a timely manner.
  • Respond to MellowMeta communications and deliverable reviews within 5 business days.
  • Ensure all client-provided content does not infringe on any third-party intellectual property rights. The client indemnifies MellowMeta against any claims arising from client-provided content.
  • Maintain active domain registration and renewal through their own registrar.
  • Not use MellowMeta services for any illegal, fraudulent, or abusive purpose.

If the client fails to respond or provide required materials for 30 or more consecutive days, MellowMeta reserves the right to close the project and retain the deposit.

06Revisions

Revision rounds included in any project are specified at the time of agreement. Each revision round must be submitted as a single consolidated list — not piecemeal over multiple messages. Additional revisions beyond what is included are billed at $50/hr and require written approval before work begins.

07Intellectual Property

  • Upon receipt of final payment in full, the client owns all custom design work created for their specific project.
  • MellowMeta retains the right to display completed work in its portfolio unless the client requests otherwise in writing within 14 days of project completion.
  • MellowMeta retains ownership of all proprietary processes, methodologies, templates, and tools used in delivering services.
  • Third-party assets including plugins, fonts, and themes remain subject to their respective licenses. The client is responsible for maintaining any required licenses.
  • The client warrants that all content and assets provided to MellowMeta are owned by or licensed to the client. The client assumes full liability for any intellectual property infringement arising from client-provided materials.

08No Guarantee of Results

MellowMeta makes no warranties or guarantees, express or implied, regarding search engine rankings, website traffic, sales, leads, conversions, revenue, or any other business outcome. Web design, hosting, and SEO services are provided as professional services based on current best practices. Results depend on factors outside MellowMeta's control including search engine algorithms, market conditions, and client content.

09Hosting & Uptime

  • No hosting service can guarantee 100% uptime. Downtime may occur due to server maintenance, hosting provider failures, software updates, or circumstances outside MellowMeta's reasonable control.
  • Weekly backups are maintained to minimize risk but are not guaranteed to be error-free or complete in all circumstances.
  • MellowMeta is not liable for any losses, lost revenue, data loss, or damages resulting from website downtime or service interruptions for any reason.
  • Hosting may not be used for illegal content, spam, or any activity that violates applicable laws or third-party platform terms of service.

10Limitation of Liability

MellowMeta shall not be liable for any indirect, incidental, special, consequential, or punitive damages of any kind, including lost revenue, lost profits, loss of data, loss of goodwill, business interruption, or cost of substitute services, even if MellowMeta has been advised of the possibility of such damages.

MellowMeta's total cumulative liability for any and all claims shall not exceed the total amount paid by the client to MellowMeta in the 90 days immediately preceding the event giving rise to the claim. These limitations apply regardless of the theory of liability and survive termination of any agreement.

11Indemnification

The client agrees to defend, indemnify, and hold harmless MellowMeta LLC and its owner, agents, and representatives from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of:

  • The client's breach of any obligation under these terms.
  • Any client-provided content or assets that infringe on third-party intellectual property rights.
  • The client's use of delivered services in violation of applicable law.
  • Any claims by third parties related to the client's business operations or website content.

12Cancellation & Termination

  • Design Project Cancellation: The 50% deposit is non-refundable once work has begun. MellowMeta may invoice for work completed beyond the deposit at $50/hr. Completed work remains the property of MellowMeta until all outstanding balances are paid.
  • Client Abandonment: If the client fails to respond or provide required materials for 30 or more consecutive days, the project is considered abandoned. The deposit is forfeited and MellowMeta may close the project without further obligation.
  • Hosting Cancellation: Either party may cancel hosting with 7 days' written notice before the next billing cycle. No partial month refunds will be issued.
  • MellowMeta Termination Rights: MellowMeta reserves the right to terminate any or all services immediately and without refund for non-payment, abusive conduct, use of services for illegal purposes, or violation of third-party terms of service.
  • Data on Cancellation: Upon cancellation in good standing, MellowMeta will provide one WordPress XML site export within 5 business days at no charge. Full database and file-level backups may be provided upon request for a flat fee of $50, due before delivery. Client data will not be retained beyond 14 days after the cancellation effective date.

13Force Majeure

MellowMeta shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including natural disasters, acts of government, power outages, internet service disruptions, third-party platform outages, pandemics, or civil unrest. MellowMeta will notify the client promptly and resume performance as soon as reasonably practicable.

14LLC Liability Shield

MellowMeta LLC is a Pennsylvania limited liability company. The client acknowledges that MellowMeta LLC's members are not personally liable for the debts, obligations, or liabilities of MellowMeta LLC. All claims must be brought against MellowMeta LLC as an entity, not against its owner personally.

15Governing Law & Disputes

These terms are governed by the laws of the Commonwealth of Pennsylvania. In the event of a dispute, both parties agree to first attempt resolution through good-faith written communication within 30 days. If unresolved, both parties agree to pursue mediation in Pennsylvania before initiating any legal proceedings.
